These Payment Terms of Use (the “Terms”) govern all payment‑collection services (the “Services”) offered via payments.electricalhub.com by ElectricalHub, a Washington corporation (collectively, “ElectricalHub,” “we,” “our,” or “us”).

You can withdraw from these Terms at any time by emailing payments@electricalhub.com with a request to terminate this agreement.

By using the Services, you agree to be bound by these Terms.

  1. Definitions

    1. 1.1. “Stored Card” — A payment card you choose to store with Stripe for future orders.
    2. 1.2. “Order‑Specific Card” — A payment card you provide only for a single order.
    3. 1.3. “Stripe” — Stripe, Inc. and its subsidiaries, our third‑party payment processor.
    4. 1.4. “User,” “you,” “your” — The individual or entity accepting these Terms.
  2. Card Collection & Storage

    1. 2.1. Order‑Specific Card. Stored only as needed to authorize and settle the related order and deleted automatically once the order is completed and any refund or dispute window has expired, or sooner upon your emailed request.
    2. 2.2. Stored Card. Retained indefinitely at Stripe until you remove it. You may remove a Stored Card at any time through your payments account or by emailing payments@electricalhub.com.
    3. 2.3. Tokenization & No Local Storage. Card data is tokenized client‑side via Stripe.js; raw card numbers never reach our servers. Stripe stores and secures all card data under PCI DSS Level 1.
  3. Your Representations & Responsibilities

    1. 3.1. Accurate Information — You warrant that all account, card, and identity information you provide is true, current, and complete.
    2. 3.2. Authority — If you act on behalf of a company, you have authority to bind that company to these Terms.
    3. 3.3. Legal Use — You will not use the Services for any fraudulent, unlawful, or prohibited activity.
    4. 3.4. Compliance With Card‑Network Rules — You must comply with all applicable Visa, Mastercard, AmEx, Discover, and other network rules and all Stripe terms.
    5. 3.5. Security of Credentials — You are responsible for maintaining the confidentiality of any access credentials, payment links, or authentication factors.
  4. Fees, Refunds & Chargebacks

    1. 4.1. Pricing — Unless expressly stated otherwise, all prices are in U.S. dollars.
    2. 4.2. Refunds — Refunds, if any, are governed by our separate refund policy or by agreement with you for the relevant order.
    3. 4.3. Chargebacks & Disputes — You agree to cooperate with us and Stripe in resolving any card‑network dispute or chargeback. We reserve the right to invoice you for fees, penalties, or losses attributable to your acts or omissions.
  5. Security

    We employ commercially reasonable administrative, technical, and physical safeguards (including SSL/TLS encryption and periodic testing). However, no Internet or electronic storage system is perfectly secure, and we cannot guarantee absolute security of your data.

  6. Disclaimers

    1. 6.1. AS‑IS / AS‑AVAILABLE. The Services are provided “as is” and “as available,” without warranties of any kind, express or implied.
    2. 6.2. No Continuous Access. We do not guarantee continuous, uninterrupted, or error‑free operation of the Services.
    3. 6.3. Third‑Party Services. Stripe and any other third‑party services are subject solely to their own terms; we are not responsible for their acts or omissions.
  7. Limitation of Liability

    To the maximum extent permitted by law, in no event will ElectricalHub, or our affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages (including loss of profits, revenues, goodwill, data, or business opportunities) arising out of or in connection with the Services, even if advised of the possibility of such damages.

    Our aggregate liability to you for any direct damages will not exceed the greater of (i) $100 or (ii) the total fees actually paid by you to us for the transaction giving rise to the claim.

  8. Indemnification

    You agree to defend, indemnify, and hold harmless ElectricalHub, Stripe, and our respective officers, directors, employees, and agents from and against any third‑party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your (i) breach of these Terms, (ii) misuse of the Services, (iii) violation of any law or regulation, or (iv) transactions processed at your instruction.

  9. Termination & Suspension

    We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, applicable law, or card‑network rules, or if your use poses unacceptable risk.

  10. Governing Law; Dispute Resolution

    1. 10.1. Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to conflict‑of‑laws principles.
    2. 10.2. Venue. Any suit or proceeding shall be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction and venue there.
    3. 10.3. Informal Resolution. Before filing suit, the parties agree to attempt to resolve any dispute in good faith for at least 30 days after written notice.
    4. 10.4. Jury Trial Waiver. EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY LEGAL ACTION ARISING OUT OF THESE TERMS.
  11. Electronic Communications

    You consent to receive all notices and disclosures electronically (via email or our website) and agree that such communications satisfy any legal requirement that such communications be in writing.

  12. Miscellaneous

    1. 12.1. Entire Agreement. These Terms, together with any order‑specific terms and our Privacy Policy, constitute the entire agreement between you and us regarding the Services.
    2. 12.2. Severability. If any provision is held unenforceable, the remainder will remain in effect.
    3. 12.3. Assignment. You may not assign your rights or obligations without our prior written consent; we may assign at any time.
    4. 12.4. Force Majeure. We will not be liable for delay or failure due to events beyond our reasonable control.
    5. 12.5. No Waiver. Our failure to enforce any provision will not constitute a waiver.
    6. 12.6. Headings. Section headings are for convenience only and have no legal effect.
